These Terms of Service & Sale ("Terms") govern your access to and use of The Influist, including the website, reports, PDFs, report pages, data outputs, written analysis, and related services we provide (collectively, the "Service").

The Service is operated by Alt Signal, LLC d/b/a The Influist ("The Influist," "we," "us," or "our").

By accessing the Service, purchasing, unlocking, downloading, receiving, or using a report, or clicking to obtain a report, you agree to these Terms, our Privacy Policy, and our Disclaimer, which are incorporated by reference.

If you do not agree to these Terms, do not use the Service or purchase, access, or use any report.

If you use the Service on behalf of a company, agency, brand, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" includes both you individually and the organization you represent.

1. Who we are

The Influist is a cultural-intelligence and market-research service operated by Alt Signal, LLC.

2. What the Service provides

The Influist produces reports that estimate cultural affinity, reach, and audience adjacency between a seed set of brands, creators, people, or other cultural entities and other public figures, creators, brands, publications, places, organizations, and entities.

Reports are based on entity-to-entity co-occurrence patterns and related analytical outputs. All figures are directional estimates, not precise measurements.

Reports are not surveys, audience panels, follower counts, consumer reports, lead lists, contact lists, or guarantees of audience size, consumer behavior, business performance, or individual intent.

Written analysis, category names, cluster names, and interpretive summaries may be generated or assisted by automated systems and may contain errors, omissions, outdated information, misclassifications, or mischaracterizations.

You are responsible for independently reviewing and verifying any information before relying on it.

3. Orders, pricing, payment, and taxes

Reports are offered at the price shown at the point of purchase, plus any applicable taxes or fees.

By submitting an order, you authorize us and our payment processor to charge your selected payment method for the amount shown at checkout.

Prices may change at any time. Price changes will not affect orders already completed.

You are responsible for any taxes, duties, or other governmental charges that apply to your purchase, except for taxes based on our income.

We may refuse, cancel, or limit any order at our discretion, including where we suspect fraud, abuse, unauthorized use, or violation of these Terms.

4. Digital delivery and refunds

Reports are digital products made available electronically.

Because reports are delivered, generated, unlocked, downloaded, or otherwise made accessible shortly after purchase, all sales are final and non-refundable once a report has been unlocked, generated, delivered, downloaded, or accessed, except where required by law.

If a report fails to deliver because of a technical fault on our side, contact us at hello@theinfluist.com. At our discretion, we may restore access, regenerate the report, provide a replacement, or refund the affected order.

We do not provide refunds because you disagree with a report's analysis, rankings, estimates, recommendations, category names, cluster names, methodology, or usefulness for your particular business purpose.

5. License to use reports

Subject to your payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use purchased reports for your own internal business purposes.

Reports are licensed, not sold.

Unless we agree otherwise in writing, your license does not allow you to resell, redistribute, publish, syndicate, sublicense, commercially exploit, or publicly post any report or substantial portion of a report.

The Service, reports, report structure, report design, written analysis, rankings, clusters, compilations, arrangement of data, software, interfaces, branding, trade dress, methodology, and all related materials are owned by us or our licensors and are protected by intellectual-property and other laws.

Except for the limited license expressly granted in these Terms, we reserve all rights in and to the Service and reports.

Third-party names, marks, logos, profile links, likenesses, and references appearing in reports belong to their respective owners. Their inclusion is factual, nominative, and analytical. It does not imply endorsement, sponsorship, partnership, authorization, affiliation, participation, or approval by those people, brands, organizations, or rights holders.

You may not use our name, marks, branding, or report excerpts in public marketing, press, investor materials, case studies, or promotional materials without our prior written permission.

8. Estimates, automated analysis, and no reliance

Reports are analytical outputs based on co-occurrence patterns, modeling, and automated or semi-automated interpretation.

All affinity, reach, rank, cluster, category, and recommendation outputs are estimates. They may be incomplete, inaccurate, outdated, biased by available data, misclassified, or unsuitable for your intended use.

The inclusion of any person, creator, brand, publication, place, organization, or entity in a report does not mean that they:

9. No guaranteed outcomes

We do not guarantee that any report will produce or improve any business, marketing, sales, partnership, creator, media, investment, strategic, or operational outcome.

Without limiting the foregoing, we do not guarantee:

The Service and reports are provided for general informational, cultural-intelligence, and market-research purposes only.

Reports do not constitute legal, financial, investment, tax, accounting, employment, compliance, marketing, advertising, public-relations, brand-safety, or other professional advice.

You should consult qualified professionals before making decisions that require professional judgment.

11. Not a consumer report

The Influist is not a consumer reporting agency.

Reports are not "consumer reports" under the U.S. Fair Credit Reporting Act ("FCRA") or similar laws.

You agree not to use the Service or any report, in whole or in part, as a factor in establishing any individual's eligibility for employment, credit, insurance, housing, education, benefits, or any other purpose regulated by the FCRA or analogous laws.

You also agree not to use the Service or any report to make adverse, discriminatory, consequential, or eligibility-related decisions about any individual.

12. Customer responsibility and acceptable use

You are solely responsible for your use of the Service and reports.

Links and references are provided for convenience and analysis only and do not imply endorsement, sponsorship, affiliation, or approval.

14. No warranties

The Service and all reports are provided "as is" and "as available."

To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, reliability, timeliness, merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, availability, security, and freedom from errors or interruptions.

We do not warrant that the Service or any report will meet your requirements, be accurate or complete, be uninterrupted or error-free, remain available, or be suitable for any particular use.

You use the Service and reports at your own risk.

15. Limitation of liability

To the maximum extent permitted by law, Alt Signal, LLC d/b/a The Influist and its owners, members, managers, employees, contractors, agents, service providers, licensors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, reputation, data, or use, arising out of or relating to the Service, any report, or these Terms.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service, any report, or these Terms will not exceed the amount you paid for the specific report giving rise to the claim.

The limitations above apply whether the claim is based in contract, tort, negligence, strict liability, statute, or any other legal theory, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

We do not provide any indemnity, defense, or hold-harmless obligation to you, your organization, your clients, your customers, your partners, or any third party.

You are responsible for your use of the Service and reports, including any claims, disputes, losses, liabilities, or expenses arising from your use, interpretation, distribution, outreach, campaigns, decisions, or other activities.

17. Your indemnification of us

You agree to defend, indemnify, and hold harmless Alt Signal, LLC d/b/a The Influist and its owners, members, managers, employees, contractors, agents, service providers, licensors, and affiliates from and against any claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

We may suspend, restrict, or terminate your access to the Service or any report at any time if we believe you have violated these Terms, created risk for us or others, misused the Service, shared access improperly, attempted to scrape or reverse engineer the Service, or used reports for prohibited purposes.

Upon termination, your right to access and use the Service and reports will end immediately.

Sections that by their nature should survive termination will survive, including sections relating to intellectual property, restrictions, disclaimers, no warranties, limitation of liability, no indemnity from us, your indemnification of us, governing law, and dispute venue.

We may modify, suspend, discontinue, or limit the Service, reports, features, pricing, availability, or content at any time.

We may update these Terms from time to time. The updated version will be posted on this page with an updated "Last updated" date.

Your continued access to or use of the Service or reports after updated Terms are posted means you accept the updated Terms.

20. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules.

You agree that the state and federal courts located in New York County, New York will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Service, or any report, except where applicable law requires otherwise.

You and we each waive any objection to jurisdiction and venue in those courts.

21. Miscellaneous

These Terms, together with our Privacy Policy, Disclaimer, and any checkout terms presented at purchase, constitute the entire agreement between you and us regarding the Service and reports.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, restructuring, or by operation of law.

No person or entity other than you and us has any right to enforce these Terms, except that our owners, members, managers, employees, contractors, agents, service providers, licensors, and affiliates are intended beneficiaries of the protections, disclaimers, limitations, and indemnities in these Terms.
